Welcome to Chatmantics, Inc. ("Chatmantics," "we," "our," or "us"). These Terms of Service (“Terms”) govern your use of our agentic voice AI SaaS platform, including but not limited to our SMS, voice, and email communication services. By accessing or using our platform, you agree to these Terms. If you do not agree, do not use our services.

1. Scope of Services

Chatmantics provides an AI-powered SaaS platform designed to support small and medium businesses (SMBs) and enterprises in enhancing customer engagement through voice, SMS, and other communication channels.

2. Eligibility

You must be at least 18 years old or the age of majority in your jurisdiction to use our services. By agreeing to these Terms, you confirm that you meet this eligibility requirement.

3. User Accounts

You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account. Notify us immediately of any unauthorized access or use of your account.

4. Acceptable Use

You agree not to use our services to:

• Violate any local, state, national, or international laws.
• Send spam, unsolicited messages, or any other form of duplicative or unsolicited messages.
• Transmit harmful, abusive, or offensive content.
• Engage in fraudulent or misleading practices.

5. SMS Messaging Terms

When using Chatmantics’ SMS services, you agree to:

• Obtain prior consent from your recipients where applicable under the law.
• Comply with all applicable laws and regulations, including but not limited to the Telephone Consumer Protection Act (TCPA), CAN-SPAM Act, and related FCC/FTC regulations.
• Ensure your messages are not misleading, harassing, or deceptive.

Opt-Out Management:

Recipients may opt out of receiving SMS messages at any time by replying “STOP” or any equivalent keyword. You are responsible for ensuring that opt-out requests are honored promptly.

Prohibited Content:

You agree not to send messages containing illegal content, explicit materials, or any content that violates the rights of others.

6. Fees and Payment

Use of the Chatmantics platform may be subject to fees as outlined in your subscription or service agreement. You agree to pay all fees on time. Failure to do so may result in suspension or termination of your account.

7. Data Privacy and Security

Our use of your data is governed by our Privacy Policy. We implement reasonable security measures to protect your data. However, you are responsible for maintaining the security of your systems and account credentials.

8. Intellectual Property

Chatmantics retains all rights, title, and interest in the platform, including all intellectual property rights. You may not copy, modify, distribute, or reverse engineer any part of the platform.

9. Limitation of Liability

To the maximum extent permitted by law, Chatmantics shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of the platform.

10. Indemnification

You agree to indemnify and hold harmless Chatmantics and its affiliates from any claims, damages, or expenses arising from your use of the platform or breach of these Terms.

11. Termination

Chatmantics may suspend or terminate your account if you violate these Terms or if required by law. Upon termination, your right to use the platform will cease immediately.

12. Changes to the Terms

We may update these Terms from time to time. Continued use of the platform after changes become effective constitutes your acceptance of the new Terms.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law principles.
